Use of electronic Cadd files produced and/or distributed by redWORKX for the Projects, noted below, shall be subject to the following terms and conditions:

redWORKX defines electronic Cadd file(s) as any file utilized and/or generated by a commercial and/or proprietary software application, which the primary purpose is the creation and manipulation of vector based and/or raster based digital images.

redWORKX makes no representation as to the compatibility of these files with any specific commercial Cadd application or operating system.

The data contained in these electronic Cadd files is part of the Architect’s/Engineer's instruments of service and shall not be used for any purpose other than as a convenience in the preparation of shop drawing submittals and/or electronic backgrounds for other project consultants. Any other use or reuse of the Architect’s/Engineer's/redWORKX's electronic Cadd files by any party other than the designated, will be at that party’s sole risk and without liability or legal exposure to the Architect/Engineer/redWORKX. The designated party agrees to make no claim and hereby waives, to the fullest extent permitted by law, any claim or cause of action of any nature against the Architect/Engineer/redWORKX, its officers, directors, employees, agents or sub-consultants which may arise out of, or in connection with, the use of the electronic Cadd files. Furthermore, the designated party shall, to the fullest extent permitted by law, indemnify and hold harmless the Architect/Engineer/redWORKX from all claims, damages, losses and expenses, including attorney’s fees arising out of or resulting from use of these electronic files.

These electronic files are not the Architect's/Engineer's Contract and/or Construction Documents. Significant differences may exist between these electronic Cadd files and corresponding hard copy contract documents, due to addenda, change orders and/or other revisions. The Architect/Engineer/redWORKX makes no representation regarding the accuracy or completeness of these electronic Cadd files. In the event that a conflict arises between the signed Contract Documents prepared by the Architect/Engineer and electronic Cadd files, the signed Contract Documents shall govern. The designated party shall be responsible for determining if any conflict exists. By utilizing these electronic Cadd files, the designated party shall not be relieved of its duty to fully comply with the Contract Documents, including and without limitation, the need to check, confirm and coordinate all dimensions and details, take field measurements, verify field conditions and coordinate the work with that of other contractors and consultants.

Because of the potential that the information presented on the electronic Cadd files can be modified, unintentionally or otherwise, the Architect/Engineer/redWORKX reserves the right to remove all indication of its ownership and/or involvement from each electronic display.

A service fee of $100.00 (One Hundred Dollars and No Cents) per electronic drawing sheet may be required to be remitted to the Architect/Engineer/redWORKX prior to delivery, and/or downloading, of the electronic Cadd files.

Under no circumstances shall delivery/downloading of the electronic files be deemed a sale by the Architect/Engineer/redWORKX. The Architect/Engineer/redWORKX makes no warranties, either expressed or implied, of merchantability and fitness of these electronic Cadd files for any particular purpose. In no event shall the Architect/Engineer/redWORKX be liable for any loss of profit or any consequential damages due to the use by the undersigned of these electronic Cadd files.

The Architect/Engineer/redWORKX shall maintain the ownership and copyright to these documents and does not forfeit any rights, privileges, and protections under copyright laws by making these electronic Cadd files available for use to the designated party.
